As a Condition for Membership or to be introduced to the project principal/sponsor for the project identified by me, I/we agree:
that I/we will operate within the terms and the information outlined at www.bbean.com/info/index.htm, as well as at www.bbean.com/homenotice.htm and www.bbean.com/info/membership.htm.
Without restricting the generality of the foregoing we specifically agree that we have not been solicited by BlackBean Communications Ltd., the operators of the www.bbean.com website, its principals, or the project sponsors or listing sponsors of information contained in either the public or private areas of the bbean.com domain. I/we affirm that we visited the site on our own free will and wish to initiate contact or become a member of bbean.com as we have general interests in venture project initiatives. I/we affirm our understanding that BlackBean Communications Ltd., its principals or the operators of www.bbean.com are not involved in the selling of securities or trade in securities, and I/we did not initiate contact for such purpose. Furthermore, I/we understand that none of the content contained in public or private areas of the aforementioned web-site purports to be, or otherwise can be construed to be the presentation of prospectuses, brochures or other documents that may be required by SEC regulations when the issue of corporate shares is part of corporate fund-raising initiatives.
I/we affirm that we will operate within the applicable rules imposed by my/our Securities Commission regulatory bodies with respect to any possible funding options that might involve Corporate entities and the potential assignment of equity interests, and should I/we table such options I/we confirm that I/we are operating within the authority granted by our own, applicable, Securities legislation.
Furthermore, I/we affirm that I/we will respect the applicable SEC rules and procedures that may be in force in the jurisdiction of the listing/project sponsor (if the signatory is a financier enquirer), or in the jurisdiction of the financier/enquirer (if the signatory is a project principal/sponsor) should any discussions involving corporate projects involve the contemplation of possible equity collateral options.
I/we affirm that I/we will take reasonable precautions to request confirmation from other parties involved in introductions to satisfy myself that they have appropriate authority to pursue the type of funding option tabled during discussions.
I/we agree that should any jurisdiction's Securities Commission Regulatory body find fault with the nature of funding proposals being discussed or pursued by the project/listing sponsors and the financier enquirers, I/we hold BlackBean Communications Ltd, its principals and the operators of www.bbean.com harmless from any fault, damages, claims or penalties that might arise from the actions of the SEC administrators.
