Although you may NOT be seeking equity type of financing, and you may NOT have a corporate structure in place you might still be affected by various Security Commission activities, so please take a minute and read this and refer to this in the future. This represents a basic assumption and condition applicable to the listing of all venture and affected notices in any part of www.bbean.com/.
Based on prior experiences with a number of SEC authorities and staff, it appears that some jurisdictions third parties or their own staff with "alter-ego accounts" to pretend to be legitimate financier contacts, in order to bait or test project principals or financier contacts on Internet listings, to determine how far they would go. You should always be cautious or wary whenever you are contacted by parties offering equity investment options for projects or private investments in financier offered packages.
It may not be unusual for such "insiders" to offer you funding on the condition that you use your corporate structure, or establish a corporate structure, so they can have a stake in your company, as collateral/security. If you appear to accept such offers and you have not ascertained that you are empowered under your SEC rules to enter into such arrangements, or you have not ensured that the enquirer has the authority to make such offers, then the SEC can allege that YOU have tried to deal in securities and can issue "Stop trading" orders including the imposition of various types of penalties. Web-site operators carrying such information notices could, potentially, also get caught in this issue if your project is listed in a public forum/web page. This may, under some rules, be interpreted as constituting advertising of the sale of securities. In some instances, such advertising, prior to or during possible issuance of securities, may be illegal - depending on the State's or Province's SEC laws.
